BlackBerry Receives Investment of U.S. $1 Billion from Fairfax Financial and Other Institutional Investors

John S. Chen to be Appointed Executive Chair of BlackBerry's Board of Directors and Interim CEO; Prem Watsa to be Appointed Lead Director Company Concludes Review of Strategic Alternatives and Announces Changes to Board and Leadership Team

BlackBerry (BBRY)(BB.TO), a world leader in the mobile communications market, announced that it has entered into an agreement pursuant to which Fairfax Financial Holdings Limited ("Fairfax") and other institutional investors (collectively, the "Purchasers") will invest in BlackBerry through a U.S. $1 billion private placement of convertible debentures. Fairfax has agreed to acquire U.S. $250 million principal amount of the Debentures. The transaction is expected to be completed within the next two weeks.
Under the terms of the transaction, the Purchasers will subscribe for U.S. $1 billion aggregate principal amount of 6% unsecured subordinated convertible debentures (the "Debentures") convertible into common shares of BlackBerry at a price of U.S. $10.00 per common share (the "Transaction"), a 28.7% premium to the closing price of BlackBerry common shares on November 1, 2013. The Debentures have a term of seven years. Based on the number of common shares currently outstanding, if all of the U.S. $1 billion of Debentures were converted, the common shares issued upon conversion would represent approximately 16% of the common shares outstanding after giving effect to the conversion.
Upon the closing of the transaction, John S. Chen will be appointed Executive Chair of BlackBerry's Board of Directors and, in that role, will be responsible for the strategic direction, strategic relationships and organizational goals of BlackBerry. Prem Watsa, Chairman and CEO of Fairfax, will be appointed Lead Director and Chair of the Compensation, Nomination and Governance Committee and Thorsten Heins and David Kerr intend to resign from the Board at closing.
In addition, Mr. Heins will step down as Chief Executive Officer at closing and Mr. Chen will serve as Interim Chief Executive Officer pending completion of a search for a new Chief Executive Officer.
Today's announcement marks the conclusion of the review of strategic alternatives previously announced on August 12, 2013.

This financing provides an immediate cash injection on terms favorable to BlackBerry, enhancing our substantial cash position. Some of the most important customers in the world rely on BlackBerry and we are implementing the changes necessary to strengthen the company and ensure we remain a strong and innovative partner for their needs."
Ms. Stymiest added, "I am also pleased that John Chen, a distinguished and proven leader in the technology industry, has agreed to serve as BlackBerry's Executive Chairman. I look forward to continuing to serve BlackBerry as a member of its Board of Directors and chair of the Board's Audit and Risk Management Committee. On behalf of the Board, I would also like to thank Thorsten for his service to BlackBerry over the past six years. Under his leadership, BlackBerry established a more efficient cost structure, developed new products, saw the adoption of BES 10 and delivered the BlackBerry 10 platform. The closing of the transaction is subject to customary conditions, including approval from the Toronto Stock Exchange.
Pursuant to the Transaction agreement, the investors have an option to purchase up to an additional U.S. $250 million principal amount of Debentures within 30 days following closing. If an additional U.S. $250 million of Debentures is issued and all U.S. $1.25 billion of Debentures were converted, the common shares issued upon conversion would represent approximately 19.2% of the common shares after giving effect to the conversion, based on the number of common shares currently outstanding.

John Chen previously served as the chairman and CEO of Sybase Inc., beginning in 1998. Under Mr. Chen's leadership, Sybase was transformed from a mature technology company into a high-growth enterprise data management, data warehousing, mobility management and analytics innovator that was acquired by SAP AG in 2010. At Sybase, Mr. Chen introduced the concept of the "Unwired Enterprise", extending enterprise applications to mobile users. Prior to Sybase, Mr. Chen held a series of executive positions at Siemens AG, Pyramid Technology Corp., and Burroughs Corp. He started his career as a design engineer with Unisys Corp. Mr. Chen is currently a director of Wells Fargo & Company and The Walt Disney Company.

BBM – An Incredible First Week on Android and iPhone

One week ago we launched BBM for iPhone and Android. What a week it’s been! With the addition of more than 20 million new users on BBM, we are now at over 80 million monthly active users* of BBM across BlackBerry, Android and iPhone, and #teamBlackBerry is thrilled. During its first week, BBM was the top free overall app in 35 countries on Google Play™ and in 107 countries in the App StoreSM and continues to maintain a strong position in key markets such as Canada, the US, the UK, Indonesia and much of the Middle East, to name a few.

Clearly, the momentum of BBM for BlackBerry, Android and iPhone continues to grow and while we are excited by the download numbers we saw this week, downloads do not speak to the way people interact with each other using BBM and we will now focus on active use of BBM – the connections being made and the conversations in which our BBM community engages.

During this first week, the BBM team also worked to quickly publish updates for both iPhone and Android users that introduced additional features and performance enhancements. On Saturday, we removed the line-up from Google Play and the App Store and customers can now download, sign in and start using BBM!


For those of you new to BBM, welcome! Be sure to check out our how-to videos and getting started guide. These will help you get the most out of BBM and discover all that it has to offer. The feedback on BBM’s immediacy in message delivery, the ease of use BBM offers and the reliability offered by the delivery [D] and read [R] notifications has been absolutely amazing!

To our long-time BBM users on BlackBerry, thank you. Thank you for inviting your colleagues, friends and family to join you on BBM over the last week, and for sharing your passion for BBM with them. I also want to thank the BBM team and the employees at BlackBerry. The tremendous success we’ve seen this week wouldn’t be possible without your hard work, dedication and commitment.

One of the hidden gems of our launch that is now coming to light is our sharing tool at http://www.bbm.com/share, which helps our users quickly add new contacts to BBM. There is also a new way to share your PIN so that Android and iPhone customers can easily click it and add you to BBM: http://www.pin.bbm.com/. We are seeing a lot of excitement as people share PINs and get connected on Facebook, Twitter, Instagram and more.

BBM is set apart in the mobile messaging space by offering immediacy and a feeling of connecting and collaboration that mirrors the feeling of a face-to-face conversation, all within a simple and easy user experience.

We also put control back into people’s hands. Let’s not underestimate the importance of deciding who will have access to you and your information and how you will build a community of those people.

We still have a few more tricks up our sleeves and I will look to share more with you as we bring new features to BBM in the coming months.

Over 10 Million Downloads of BBM for Android and iPhone in the First Day

BBM achieves top ranking in the App Store in over 75 countries within the first 24 hours

In just 24 hours BBM™ has been downloaded over 10 million times by Android™ and iPhone® users, one of the best single-day openings for a mobile app to date. BBM Welcomes Over 20 Million New Active Users in the First Week

BBM Community Grows to More Than 80 Million Active Users Across BlackBerry, Android and iPhone Devices Globally
Waterloo, ON – After the amazing launch of BBM™ on Android® and iPhone® devices, with more than 10 million downloads in the first 24 hours, BBM has now ended its first week with more than 80 million monthly active users*, including over 20 million new users on Android and iPhone devices.
During its first week, BBM was the top free overall app in 35 countries in Google Play™ and in 107 countries in the App StoreSM, and continues to maintain a strong position in key markets such as Canada, the US, the UK, Indonesia and much of the Middle East, to name a few.

BlackBerry Z30 Available in November Exclusively from Verizon Wireless

The latest offering from BlackBerry.

Big screens on smartphones mean less squinting when reading emails or editing documents, easier typing on a larger keyboard, and more sharing videos with friends sitting next to you. The newest smartphone from BlackBerry will make that all possible.

Coming in November, the BlackBerry Z30 smartphone with 5-inch HD display will be available online at www.verizonwireless.com for $199.99 with new two-year activation. Verizon Edge is also available for eligible customers who want to upgrade for $22.91 per month for 24 months.

Gamers will appreciate the HD screen for mobile gaming on the go, but the BlackBerry Z30 also supports Miracast to wirelessly connect to a compatible HDTV and mirror exactly what’s on the smartphone to the HDTV’s larger display. Business professionals, for example, can walk into a boardroom with only their smartphone and show their presentation on an HDTV to colleagues or supervisors.

Besides the big HD screen, BlackBerry Z30 includes the BlackBerry Hub, a single place on the smartphone where users can access all their conversations. BBMs, Twitter @ replies, emails, text messages, Facebook event invites and more can be found in one place without launching each app individually. And within BlackBerry Hub is the Priority Hub, which learns what conversations are important to the user, helping them stay even more organized and focused.

BlackBerry announces 5 million downloads of BBM for iOS and Android only 8 hours after release

BlackBerry revealed via the official BBM Twitter account that in the first eight hours since launching BBM for iPhone and Android, the app has been downloaded over by over 5 million customers across both platforms. The app is also now the #1 free app on the iTunes App Store.

That number could actually be much higher, as the 5 million applies only to the number of users whose accounts have been activated for use. BlackBerry did not specify how many more users were still waiting to be activated, if any.

BBM for Android and BBM for iPhone: Official Launch Details

This is the news you’ve been waiting for! I am thrilled to tell you that we are about to officially resume our rollout of BBM for Android and iPhone customers around the globe!* In the next few hours, people will start seeing BBM in Google Play, the App Store and in select Samsung App Stores – where it will be free to download.

The demand for BBM on Android and BBM on iPhone continues to be amazing. About six million people signed up for information about BBM at BBM.com. As you know, in just seven hours, about one million Android users were using the unreleased version of BBM for Android. What you don’t know is that more than one million people have found creative ways to “side load” BBM on their iPhone. This is incredible.

BBM maker BlackBerry has confirmed to resume the rollout of its BBM app for Android and iOS. After a botched rollout, BlackBerry has adopted a queue system where a user will have to register and save a spot in the line to use the messaging system. This will apply to users who didn’t register on BBM.com.

But if you’re a Samsung user in the Sub-Sahara Africa region, you’ll be able to download and use the app directly from the Samsung Apps store without having to save a spot in the line, unlike unregistered users. This is the only bit of exclusivity Samsung African users get.

BBM will release in the next few hours on the Play Store and Samsung Apps.

If you’ve been following the release of BlackBerry Messenger for Android, you’re most likely aware that the initial launch was scrapped, after a leaked Android APK of the app crashed BlackBerry’s servers. Well, in a few hours, the rollout of BBM is about to resume, and this time, it’s bringing along a queue system, wherein you’ll have to register and wait a while before BlackBerry grants you access for using the app and start messaging your friends.

Well, unless you’re a Samsung device user in the Sub-Saharan Africa region, in which case you’ll be able to download BBM from the Samsung Apps store and start using it immediately. The wait time, by default, is only applicable to those who registered on BBM.com before the previous launch of the app, but even if you didn’t do that, you still gain instant access if you’re in the aforementioned continent.

So, just a few hours before BBM is live and yours for the taking, without the need to have a BlackBerry device. Here’s hoping the launch goes smoothly this time around.

BlackBerry issues open letter to calm customers and partners

BlackBerry Ltd on Monday sought to reassure its restive customers and partners that it was financially stable and "here to stay," even though it announced massive layoffs and sources say it is in talks to sell all or part of the company.

In an open letter published in 30 news outlets across nine countries, the Waterloo, Ontario-based company stressed that its customers can continue to count on BlackBerry and its products, despite the challenges it is facing and the changes it is undergoing.

BlackBerry's products have struggled to compete against the likes of Apple Inc's iPhone and the numerous devices powered by Google's Android operating system.

A new line of smartphones that run on the BlackBerry 10 operating system has also failed to re-ignite sales, prompting the company last month to announce that it would slash its global workforce by more than a third.

"Our customers read a lot about BlackBerry these days, as we make the headlines quite often - this has created a lot of noise and confusion" Frank Boulben, the company's chief marketing officer, said in an interview.

"We want customers to know that they can continue to count on us - we are here to stay. We have substantial cash on our balance sheet and we have no debt. We are restructuring our cost base and this is a very painful transition, but it will make us financially stronger and we want to get that message directly to our customers."

The open letter is being distributed via social media channels and being published in Tuesday's edition of newspapers across the globe, including the Washington Post and Wall Street Journal in the United States, and the Globe and Mail and National Post in Canada.

The company's future was further thrown into question after it announced this summer that it is weighing its options, including an outright sale.

Sources have told Reuters that the company is in talks with Cisco Systems, Google Inc and SAP about selling all or parts of itself. Such a deal would be an alternative to a preliminary, $9-a-share offer by a group being led by BlackBerry's biggest investor, Fairfax Financial Holdings Ltd.

Last week, BlackBerry co-founders Mike Lazaridis and Douglas Fregin also said that they are considering a bid to buy the smartphone maker.

Boulben said the uncertainty is the reason why BlackBerry is publishing the letter, which highlights the company's strengths from its security offering to its device management capabilities and its mobile messaging platform.

"Whoever is interested in BlackBerry understands that the company has world class products and services. These are products and services that customers can continue to count on."

Boulben said the company already has 6 million Android and iPhone customers pre-registered for the launch of its BlackBerry Messenger (BBM) service.

He said he expects the BBM to launch on both those platforms "within days," adding that the company is confident that it fixed issues that arose after the initial cross-platform launch of the messaging service last month.

The company suspended the cross-platform launch last month, after an unofficial older version of BBM downloaded by a number of Android users caused issues with the messaging platform.
